Capital Structure

Ventus 2 VCT plc was launched in 2006 and raised £11m through a joint issue of ordinary shares with Ventus 3 VCT plc. Ventus 2 VCT plc has now merged with Ventus 3 VCT plc.  In January 2010 further ordinary shares of £1.1m were issued through a top up offer.  Ventus 2 VCT plc also raised £6.8m in 2009 and £4.4m in 2010 in each case by way of a joint offer with Ventus VCT plc for 'C' shares.  Whilst the ordinary share and 'C' share pools each form part of Ventus 2 VCT plc, they are separate classes of share and participate in different investments across the portfolio.  The funds have a mutual objective of investing in companies that develop, construct and operate UK onshore renewable energy projects and have the common strategy of aiming to deliver steady cash flows to shareholders.

In 2010 Ventus 3 VCT plc merged with Ventus 2 VCT plc by way of a scheme of reconstruction.  Details of the merger are set out here.
